Terms of Service

1. Acceptance of Terms

By accessing or using STR Pro (“the Service”), operated by Wellstone Software, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

STR Pro is a financial management and tax planning tool for short-term rental property investors. Features include REP hours tracking, P&L reporting, depreciation schedules, tax exports, deal analysis, and bank account connectivity via third-party providers.

3. Not Tax or Legal Advice

STR Pro is a software tool, not a tax advisor, financial advisor, or law firm. All calculations, estimates, reports, and exports are provided for informational and organizational purposes only. Nothing in the Service constitutes tax advice, legal advice, or financial advice.

Always consult a qualified CPA, tax attorney, or financial professional before making tax or investment decisions. Tax laws change frequently and vary by jurisdiction. IRS rules around Real Estate Professional status, the STR loophole, passive loss limitations, and depreciation are complex — the Service provides estimates only.

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring the accuracy of data you enter into the Service
• Compliance with all applicable laws in your use of the Service

5. Subscription and Billing

STR Pro offers a free tier and paid Pro plans (monthly and annual). Subscriptions are billed through Stripe. By subscribing, you authorize recurring charges to your payment method. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.

Refunds are not provided for partial billing periods except as required by applicable law.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, scrape, or extract data from the Service
• Share your account credentials with third parties not authorized as collaborators
• Use the Service to process or store data belonging to others without their consent
• Circumvent any access controls or security measures

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Third-Party Integrations

The Service integrates with third-party services including Plaid (bank connectivity), Stripe (payments), Clerk (authentication), Hospitable (channel manager sync), Resend (email), and others. Your use of these integrations is subject to those providers' own terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSTONE SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
